Definitions

“User”, “you” and “your” mean any person who accesses or uses the Services. “Content” means text, images, graphics, designs, trademarks and other materials made available through the Services. “Group” means APEX Group Holdings and its subsidiaries, including APEX Energy, APEX Commerce and APEX Development.

You represent that you are legally able to accept these Terms and, if you use the Services for an organisation, that you have authority to bind it. We may restrict or suspend access where reasonably necessary for security, legal compliance or the protection of our business.

The Services provide general information about our Group and a way to contact us. We do not offer accounts, bookings or online sales through the Services. Nothing on the Services is an offer to sell, or a solicitation of an offer to buy, any securities or investment.

The Services and all Content are owned by or licensed to the Company and are protected by intellectual-property laws. You must not use our names, logos, trademarks, domain names, designs or photographs without our prior written consent. See our Trademark Notice.

When you send us an enquiry, you confirm that the information is accurate and that you have the right to share it. Please do not send confidential business information unless a confidentiality agreement is in place. We may use suggestions and feedback you send us without obligation to you.

The Group communicates officially only through this website and the email address info@apex-group-holdings.com. We never ask for payments or banking details by unsolicited email or messaging. Treat any message from another address claiming to be us with caution and report it to us.

To the maximum extent permitted by law, the Company and its directors, officers, employees and affiliates will not be liable for any indirect, incidental, special or consequential loss, or any loss of profit, business, opportunity, goodwill or data, arising from your use of, or inability to use, the Services. Nothing in these Terms limits liability that cannot lawfully be limited.

Indemnity

To the extent permitted by law, you agree to indemnify the Company against claims, losses and reasonable costs arising from your breach of these Terms, unlawful use of the Services or infringement of a third party’s rights.

Force Majeure

We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disaster, epidemic, war, civil unrest, governmental action, power or telecommunications failure, cyberattack or supplier failure.

Governing Law and Jurisdiction

These Terms and any dispute arising from them are governed by the laws of the Kingdom of Cambodia. The courts of Phnom Penh have exclusive jurisdiction, unless applicable law requires otherwise. These Terms are published in English and Khmer; if there is any inconsistency, the English version prevails to the extent permitted by law.

Assignment

We may transfer our rights and obligations under these Terms to a member of our Group or a successor. You may not transfer your rights or obligations without our written consent.

Changes to These Terms

We may amend these Terms. The updated version will be posted here with a revised effective date. Continued use of the Services after that date means you accept the updated Terms, to the extent permitted by law.

General

• Severability. If any provision is invalid or unenforceable, the remaining provisions continue in effect.
• Entire agreement. These Terms, the Privacy Policy and the Cookie Policy are the entire agreement between you and us about the Services.
• No waiver. Our failure to enforce a right is not a waiver of it.
• Survival. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and governing law, will survive.
